Terms & Conditions

The following Terms and Conditions of Service apply to all products and services provided by Advertising Lab LTD, hereafter referred to as ‘Ad Lab’.


In these Terms and Conditions, the “Client” or “Customer” means the person, firm or company who commissions the services of Ad Lab.


All work is carried out by Ad Lab on the understanding that the Client has agreed to Ad Lab Terms and Conditions.




The Client agrees to pay for all products and services provided by Ad Lab directly.


Ad Lab will not invoice a third party client without prior written agreement, before commencement of any work, and will only do so if written agreement is obtained directly from that third party Client.


All costs exclude VAT, which will be charged at the appropriate rate. All invoices impose a 14-day payment term.




Ad Lab reserves the right to refuse completion or delivery of work until past due balances are paid, and the customer may refuse to pay for services which are not performed with reasonable skill and care.


Copyrights and Trademarks


By supplying text, images and other data to Ad Lab for inclusion in the Customer’s website or other medium, the Customer declares that it holds the appropriate copyright and/or trademark permissions.


The ownership of such materials will remain with the Customer, or rightful intellectual property rights owner.


Any artwork, images, data or text supplied and/or designed by Ad Lab on behalf of the Customer, will remain the property of Ad Lab and/or its suppliers.


The Customer may request in writing from Ad Lab, the necessary permission to use materials (for which Ad Lab holds the copyright) in formats other than for which it was originally supplied, and Ad Lab may, at its discretion, grant this. Such permission must be obtained in writing before it will allow any of the aforesaid artwork, images, text, or other data to be used. By supplying images, text, or any other data to Ad Lab, the Customer grants Ad Lab permission to use this material freely in the pursuit of any Design and Development.


Should Ad Lab, or the Customer supply an image, text, video, audio, document or any other file for use in a website believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the Customer will agree to allow Ad Lab to remove and/or replace the file.


Each party agrees to fully indemnify and hold the other free from harm in any and all claims resulting from the relevant party in not having obtained all the required copyright, and/or any other necessary permissions.


Data Formats


The Client agrees to Ad Lab’s definition of acceptable means of supplying data to the company. CPanel, SSH, SFTP and MyPHP Admin access (and Ad Lab will not use any unencrypted communication to transmit personal data) will be required to gain full access to current software data, and Ad Lab will provide the customer with relevant access details promptly upon request. Additional data will need to be received via Dropbox/WeTransfer or equivalent other third party, email or offline encrypted USB pen.


Hosting websites


Ad Lab offers hosting services via a third party supplier, Nimbus Hosting. The third party contract terms apply to Client websites hosted by Ad Lab. Where Ad Lab suggest possible sub-contractors, they do not guarantee continuous service and will accept no liability for loss of service, whatever the cause.




Ad Lab makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies save that it shall supply all of its services with reasonable skill and care. Ad Lab will not be held responsible for any and all damages resulting from products and/or services it supplies. Ad Lab is not responsible for any loss, or consequential loss of data whatever the cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The customer agrees not to hold Ad Lab responsible for any such loss or damage. Any claim against Ad Lab shall be limited to the relevant fee(s) paid by the Customer.


Ad Lab reserves the right to use the services of subcontractors, for any work, content, and/or services with the permission of Wyatt Crocker Ltd in writing, which shall not be unreasonably refused or withheld. Ad Lab will not knowingly perform any actions to contravene these and the Client also agrees to be so bound.
